US-based flexible packaging provider\u202fProAmpac has agreed to acquire TC Transcontinental Packaging (TCP) from Canada-based TC Transcontinental (Transcontinental) for\u00a0$1.51bn.\u00a0<\/p>\n

The purchase price is subject to standard post-closing adjustments relating to debt, cash and net working capital.\u00a0\u00a0<\/p>\n

The deal will be finalised in the first quarter of 2026, \u00a0contingent on shareholder approval, regulatory clearances and other standard conditions.\u00a0<\/p>\n

The acquisition will add manufacturing sites in North America, Latin America, the UK and New Zealand to ProAmpac\u2019s footprint.\u00a0\u00a0<\/p>\n

The transaction broadens ProAmpac\u2019s offering in sustainable packaging solutions and enhances its material science capabilities, with a focus on dairy, meat, medical and pharmaceutical applications.\u00a0<\/p>\n

ProAmpac founder, vice-chairman and CEO Greg Tucker stated: \u201cThis acquisition is a transformative milestone for ProAmpac and TCP. Through TCP, ProAmpac is broadening its end-market focus to include protein, dairy and medical segments, and expanding its geographic presence.\u00a0\u00a0<\/p>\n

For the 12 months to 27 July 2025, TCP reported revenues of around $1.2bn.\u00a0\u00a0<\/p>\n

The business runs 25 plants and employs 3,500 people.\u00a0\u00a0<\/p>\n

Its activities include extrusion, printing, lamination, converting and recycling, serving the dairy, coffee, meat and poultry, pet food, agriculture, beverages, home and personal care markets, consumer products and medical sectors.\u00a0<\/p>\n

Goldman Sachs is the lead financial adviser to ProAmpac, with J.P. Morgan Securities also serving as a financial adviser.\u00a0\u00a0<\/p>\n

Legal counsel to ProAmpac is being provided by Kirkland & Ellis and McCarthy T\u00e9trault\u00a0<\/p>\n

Transcontinental executive chair of the board Isabelle Marcoux added: \u201cI believe that TCP has found an exciting new home with ProAmpac. Like TC Transcontinental, ProAmpac has built its business with a relentless focus on helping customers succeed.\u00a0\u00a0<\/p>\n
