US-based packaging company Soteria Flexibles has agreed to acquire Canadian flexible packaging producer Imaflex.<\/p>\n

The deal values the\u00a0Montreal-based\u00a0company\u2019s equity at C$123m\u00a0($89.2m).\u00a0<\/p>\n

Under the\u00a0agreed\u00a0terms, an affiliate of Soteria will\u00a0purchase\u00a0all issued and outstanding common shares of\u00a0Imaflex\u00a0at\u00a0C$2.35\u00a0each\u00a0in cash.\u00a0\u00a0<\/p>\n

Once the transaction is completed,\u00a0Imaflex\u00a0will be delisted and\u00a0operate\u00a0as a privately held company.\u00a0<\/p>\n

The acquisition is expected to close in the first quarter of 2026.\u00a0<\/p>\n

The closure is subject to standard conditions, including approval from regulators and shareholders.\u00a0<\/p>\n

Imaflex\u2019s board of directors has unanimously cleared the deal and recommended that shareholders support it.<\/p>\n

Founded in 1994,\u00a0Imaflex\u00a0produces polyethylene films and flexible packaging solutions, including barrier and metallised films, for customers in the industrial, agricultural, food and consumer sectors.\u00a0\u00a0<\/p>\n

The company runs manufacturing sites in Canada and the US.\u00a0<\/p>\n

Soteria, a portfolio company of private equity firm TJC, specialises\u00a0in short-run, custom flexible packaging and high-performance films.\u00a0<\/p>\n

Its products serve end markets such as food, healthcare, industrial and consumer applications. Soteria\u00a0operates\u00a0eight manufacturing facilities across North America.\u00a0<\/p>\n
