Shareholders of packaging business Sealed Air have voted to approve the company\u2019s acquisition by an affiliate of private equity company Clayton, Dubilier & Rice (CD&R), in a transaction valued at $10.3bn.<\/p>\n

The decision followed a special meeting where all proposals related to the takeover received shareholder support.<\/p>\n

Sealed Air will disclose the final voting results in a forthcoming filing with the US Securities and Exchange Commission.<\/p>\n

Sealed Air CEO Dustin Semach said: \u201cWe are pleased with the results of the special meeting, and we thank our stockholders for their strong support for this transaction.<\/p>\n

\u201cWe look forward to closing the transaction in the coming months.\u201d<\/p>\n

Announced in November 2025<\/a>, the deal would remove Sealed Air from the New York Stock Exchange. The company will maintain its headquarters in Charlotte, North Carolina.<\/p>\n

The transaction is anticipated to close by mid-2026. Completion of the deal remains subject to regulatory approval and other standard closing requirements.<\/p>\n

According to a report from Bloomberg <\/em>earlier this month, financial institutions are preparing $7.9bn in debt to fund the acquisition<\/a>, with a consortium that includes JPMorgan Chase and Wells Fargo organising a high-yield bond issue yielding between 7% and 7.25%.<\/p>\n

Additionally, around $4.5bn in leveraged loans, split between US dollars and euros, will form part of the financing.<\/p>\n

Other participating banks include BNP Paribas, Goldman Sachs Group, and UBS Group.<\/p>\n

Sealed Air operates internationally in packaging solutions for food, medical, retail, logistics, and industrial sectors through various brands.<\/p>\n
