Sealed Air has obtained all required regulatory clearances for its acquisition by funds affiliated with private equity company Clayton Dubilier & Rice (CD&R).<\/p>\n

First\u00a0announced in November 2025<\/a>, the $10.3bn\u00a0deal is now\u00a0anticipated\u00a0to close in April 2026, subject to\u00a0remaining\u00a0standard closing conditions.\u00a0<\/p>\n

Sealed Air president and CEO Dustin Semach said: \u201cThe receipt of all regulatory approvals brings us another step closer to completing the transaction with CD&R and embarking on the next phase of innovation and growth at Sealed Air.<\/p>\n

\u201cWith this milestone complete, we are focused on finalising the remaining closing conditions and completing the transaction in the coming weeks.\u201d<\/p>\n

As part of the agreement, shareholders will receive $42.15 per share in cash.<\/p>\n

Upon completion, Sealed Air will become a privately held company, with its shares delisted from the New York Stock Exchange.<\/p>\n

To fund the purchase,\u00a0nearly $4.7bn\u00a0in leveraged loans are\u00a0being marketed by banks.<\/a>\u00a0\u00a0<\/p>\n

According to sources cited by Bloomberg<\/em>, JPMorgan Chase is leading a $4.1bn dollar loan syndication while BNP Paribas is handling a $600m euro-denominated loan.<\/p>\n

Sealed Air posted net earnings of $44m\u00a0for Q4 2025,\u00a0reversing a\u00a0loss<\/a>\u00a0of less than $1m\u00a0reported in the same period of\u00a0the previous year.\u00a0<\/p>\n

The bubble wrap maker generated net sales of $1.4bn in the quarter, up 2% year-on-year.<\/p>\n

Sealed Air employs approximately 16,100 staff serving customers in 119 countries and territories globally.<\/p>\n

It operates across various sectors, including food, medical, e-commerce, logistics and industrial markets.<\/p>\n
