Credit: Piotr Swat \/ Shutterstock.com.  <\/figcaption><\/figure>\n<\/p><\/div>\n<p class=\"drop-cap\">Medical and cosmetic packaging maker Gerresheimer has turned down a takeover approach from US-based Silgan, reported <a href=\"https:\/\/www.reuters.com\/legal\/transactional\/gerresheimer-rejects-takeover-bid-us-packing-firm-silgan-say-sources-2026-04-17\/\" target=\"_blank\"><em>Reuters<\/em><\/a>, citing sources.<\/p>\n<p>The sources add that Gerresheimer is currently prioritising efforts to address its accounting issues and to dispose of its US unit Centor.<\/p>\n<div class=\"in-article-premium-insights mobile-useragent-scalar\">\n<section class=\"gms-b2b-marketing\">\n<figure><img decoding=\"async\" src=\"https:\/\/www.packaging-gateway.com\/wp-content\/themes\/goodlife-wp-B2B\/assets\/img\/globaldata_marketing_solutions_logo.svg\" alt=\"\"\/><\/figure>\n<h4> Discover B2B Marketing That Performs <\/h4>\n<p>\n\t\t\t\t\t\tCombine business intelligence and editorial excellence to reach engaged professionals across 36 leading media platforms.\n\t\t\t\t\t<\/p>\n<p><a href=\"https:\/\/www.globaldatamarketingsolutions.com\/\" class=\"gms-find-out-more\" target=\"_blank\"><br \/>\n\t\t\t\t\t\t\tFind out more <span><svg xmlns=\"http:\/\/www.w3.org\/2000\/svg\" width=\"13\" height=\"9\" viewbox=\"0 0 13 9\" fill=\"none\"><path fill-rule=\"evenodd\" clip-rule=\"evenodd\" d=\"M11.685 4.5548L1.25586 4.5548L11.685 4.5548Z\" fill=\"white\"\/><path d=\"M11.685 4.5548L1.25586 4.5548\" stroke=\"white\" stroke-width=\"1.03145\" stroke-linecap=\"round\" stroke-linejoin=\"round\"\/><path d=\"M7.85693 0.918855L11.9827 4.5731L7.85693 8.33789\" stroke=\"white\" stroke-width=\"1.03145\" stroke-linecap=\"round\" stroke-linejoin=\"round\"\/><\/svg><\/span><\/a><\/p>\n<\/section>\n<\/div>\n<p>Last month, <em>Reuters <\/em>reported that Silgan is <a href=\"https:\/\/www.packaging-gateway.com\/news\/silgan-weighs-bid-for-gerresheimer\/\" target=\"_blank\">exploring the purchase<\/a> and working with advisers on a proposal that may value Gerresheimer at \u20ac41 ($48.31) a share, more than twice its current market price.<\/p>\n<p>A spokesperson for Gerresheimer said the company does not comment on market rumours.<\/p>\n<p>Silgan did not reply to a request for comment.<\/p>\n<p>The rejected approach comes as Gerresheimer is under increasing pressure over its financial reporting.<\/p>\n<p>It was reported in February by <em><a href=\"https:\/\/www.reuters.com\/sustainability\/boards-policy-regulation\/german-regulator-expands-probe-into-gerresheimers-financial-statements-2026-02-25\/\" target=\"_blank\">Reuters<\/a> <\/em>that German financial watchdog BaFin has widened its examination of the company\u2019s accounts as the group deals with accounting concerns and a sharp fall in its share price.<\/p>\n<p>That broader review follows internal checks into accounting practices, a weaker business outlook and changes in senior leadership.<\/p>\n<p>BaFin has extended its review of Gerresheimer\u2019s 2024 financial statements to cover matters including possible misstatements in lease liabilities and the absence of impairment recognition for assets in its advanced technologies division.<\/p>\n<p>The regulator has also started a separate audit of the company\u2019s 2025 half-year financial report, pointing to potentially outdated risk disclosures, omitted impairment charges and misstated bill-and-hold revenue, a method where revenue is booked before products are delivered.<\/p>\n<p>Recently, Gerresheimer has also secured support from lenders.<\/p>\n<p>So far, holders representing 96% of the \u20ac870m promissory note volume have agreed to extend the deadline until September 30, 2026, for submitting the audited annual and consolidated financial statements for the 2025 financial year.<\/p>\n<p>The company also reached an agreement with its banking partners on an extension that, subject to customary conditions, runs until 30 September 2026.
