{"id":4472,"date":"2024-12-19T00:00:35","date_gmt":"2024-12-19T05:00:35","guid":{"rendered":"https:\/\/www.packagingindustrynews.com\/?p=4472"},"modified":"2024-12-19T00:00:35","modified_gmt":"2024-12-19T05:00:35","slug":"sonoco-to-sell-thermoformed-and-flexibles-packaging-tfp-business-to-toppan","status":"publish","type":"post","link":"https:\/\/www.packagingindustrynews.com\/?p=4472","title":{"rendered":"Sonoco to Sell Thermoformed and Flexibles Packaging (TFP) Business to TOPPAN"},"content":{"rendered":"<p> <br \/>\n<br \/><\/p>\n<div>\n<p><a href=\"https:\/\/www.packagingstrategies.com\/articles\/104961-sonoco-initiates-review-of-strategic-alternatives-for-tfp-business\" id=\"\">Sonoco Products Company<\/a> announced Wednesday that it has entered into an agreement to sell its Thermoformed and Flexibles Packaging business (TFP) to <a href=\"https:\/\/www.packagingstrategies.com\/articles\/104671-sonoco-toppan-and-flavour-makers-among-key-presenters-at-global-pouch-forum\" id=\"\">TOPPAN Holdings Inc.<\/a> for approximately $1.8 billion on a cash-free and debt-free basis and subject to customary adjustments.<\/p>\n<p>The transaction, which reflects the completion of the previously announced strategic review of Sonoco\u2019s TFP business, is subject to customary closing conditions, including regulatory approvals, and is expected to close in the first half of 2025. Net proceeds from the transaction are expected to be used to repay existing debt.<\/p>\n<p>\u201cThe decision to sell our TFP business accelerates our portfolio simplification strategy, streamlines our organizational structure, and enables more focused capital investments in our remaining industrial paper and consumer packaging businesses,\u201d said <strong>Howard Coker, Sonoco\u2019s President and Chief Executive Officer<\/strong>. \u201cTFP is a great business with leadership positions in its served markets. . . . . We will work closely with TOPPAN to ensure a successful transition for our employees, customers, and suppliers and wish the entire team all the best in the future.\u201d<\/p>\n<h4><strong>TOPPAN\u2019s Perspective<\/strong><\/h4>\n<p>TOPPAN said in a statement that the acquisition is \u201chighly complementary, combining the robust sales network, customer base, and solution development capabilities of Sonoco\u2019s TFP business in North and South America with the technical expertise and manufacturing capabilities of TOPPAN Group\u2019s global packaging business.\u201d<\/p>\n<p>\u201cWe are extremely pleased to have the opportunity to bring Sonoco\u2019s TFP business to the TOPPAN Group.
